Terms of Service

These terms govern your use of the EximAgent CLI, web app, and websites operated by the exim lab (“EximAgent”, “we”, “us”). By creating an account or using the service you agree to them. If you use EximAgent on behalf of an organization, you accept these terms for that organization and confirm you have authority to do so.

Your account and credentials

  • You are responsible for everything done under your account, including actions taken by coding agents and scripts using your OAuth sessions or personal access tokens (PATs).
  • Keep tokens confidential, scope PATs to the minimum access they need, and revoke any credential you suspect is compromised.
  • You must provide accurate account information and be at least 16 years old (or the age of digital consent where you live).

The service and billable runs

EximAgent provides trade-intelligence tooling: buyer and distributor discovery, HS-code classification, tariff and corridor lookups, sanctions screening, company enrichment, crawling, and outreach drafting. Some operations are billable. Billable operations always show a preview or dry-run with an estimate first and run only after you explicitly confirm. Confirmed runs consume credits as quoted; previews and dry-runs do not.

Acceptable use

You agree not to:

  • use the service for unlawful purposes, or in violation of export-control, sanctions, anti-spam, or data-protection laws that apply to you;
  • resell, sublicense, or redistribute the underlying dataset, or bulk export results to build or seed a competing database;
  • circumvent rate limits, metering, previews, or access controls, or probe the service for vulnerabilities outside a coordinated disclosure;
  • misrepresent your identity in outreach or harvest contacts for unsolicited bulk messaging unrelated to a legitimate trade inquiry.

Compliance is your responsibility

EximAgent gives you data and drafts; decisions remain yours. You are responsible for compliance with the laws of your jurisdiction and the jurisdictions you trade with, including export controls, customs rules, sanctions regimes, and marketing-consent laws.

Sanctions screening matches names against the OFAC SDN list as an assistive check. It is not legal advice, it does not cover every restricted-party list, and a clear result is not a guarantee that a transaction is permitted. Consult qualified counsel for compliance decisions.

Data accuracy

Results carry confidence labels and sources. Verified data is confirmed by a provider; extracted or inferred data is a candidate for your review. Tariff rates, duties, and classifications change and can depend on details we cannot see (origin rules, valuation, trade programs) — verify with a licensed customs broker or the relevant authority before relying on them. EximAgent does not warrant that any result is complete, current, or error-free.

Outreach

Outreach starts as a draft with a dry-run preview and is never sent until you explicitly confirm. You own and are responsible for the content you send, for identifying yourself truthfully, for having a lawful basis to contact each recipient, and for honoring opt-out requests promptly.

Your content

You retain all rights to the collections, templates, notes, and other content you store. You grant us the limited license needed to host, process, and display that content back to you and to operate the service. We may use aggregated, de-identified usage data to improve the product.

Our intellectual property

The service, CLI, website, and branding are owned by the exim lab or its licensors. These terms grant you a limited, non-exclusive, non-transferable right to use the service; they transfer no ownership of the service or the underlying datasets. Feedback you send us may be used without obligation.

Third-party data

Results may include data from third-party providers and public sources, which remain subject to their own terms. We pass through source attribution so you can review the origin of each record.

Availability and changes to the service

We work to keep the service available but do not guarantee uninterrupted operation. We may add, change, or retire features; if a change materially reduces what you have already paid for, we will say so and make it right.

Termination

You may close your account at any time. We may suspend or terminate accounts that breach these terms, create legal exposure, or abuse the service, with notice where practicable. Sections that by their nature survive (your responsibilities, IP, disclaimers, liability limits) survive termination.

Disclaimers and limitation of liability

The service is provided “as is” and “as available”, without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. To the maximum extent permitted by law, the exim lab is not liable for indirect, incidental, special, or consequential damages, or lost profits or data, and our total liability for claims arising from the service is limited to the amounts you paid us in the twelve months before the claim.

Indemnity

You will indemnify the exim lab against claims arising from your content, your outreach, or your breach of these terms or applicable law.

Changes to these terms

We may update these terms; material changes will be reflected by the “last updated” date above and, for significant changes, announced to account holders. Continuing to use the service after a change takes effect means you accept the updated terms.
